Terms of Use

Fair-use terms for the free, no-account forms and their temporary official-PDF export.

Please read before using the tools. By opening or using a form, saving work, or requesting an official PDF, you agree to these Terms and the Privacy & Data notice.

Important responsibility and liability summary. These free tools are administrative aids provided “as is.” You are responsible for professional judgments, authority and consent, confidentiality, local files, and checking every output before sharing or submission. Tandem does not promise that an output is complete, current, error-free, secure from every threat, or accepted by ICF. To the maximum extent permitted by law, warranties are disclaimed, specified damages are excluded, and Tandem’s aggregate liability is capped as described in Sections 9 and 10. Rights and liabilities that cannot lawfully be waived remain unaffected.

1. Acceptance and eligibility

These Terms are an agreement between you and Tandem Coaching Partners, LLC (“Tandem,” “we,” “us”). You may use the Mentor Coaching Tools only if you are at least 18, can enter a binding agreement, and use them for lawful professional or educational purposes. If you use them for an organization, you confirm that you have authority to accept these Terms for that organization.

If you do not agree, do not use the tools or submit an official export.

2. What the tools do

The tools help a mentor coach record professional observations, create a Tandem-formatted PDF, save a local form file, compile a competency review, and request a temporary conversion into a supported official ICF PDF template. They are free, require no account, and do not include guaranteed support, storage, credential review, or submission to ICF.

The tools are independently created by Tandem. They are not an ICF product, are not affiliated with or endorsed by ICF, and do not create eligibility, approval, certification, or any other credential decision.

3. Your professional responsibility

You remain responsible for every observation, rating, comment, determination, signature, and document you provide to a mentee or submit to ICF. Use your own professional judgment and verify the current official ICF requirements, ethics obligations, forms, submission rules, and credential level before relying on an output.

The tools are administrative aids. They do not provide legal, ethical, credentialing, psychological, clinical, or other professional advice and do not replace mentor coach qualification, supervision, client dialogue, or recordkeeping duties.

You assume the risk of relying on calculations, suggested outcomes, labels, validations, guidance, generated wording, document formatting, or template mapping. You must independently review the underlying facts and the complete downloaded document. Tandem has no duty to review your work, monitor your professional conduct, correct your entries, determine proficiency, preserve evidence, or warn you of every possible error or requirement.

Using the tools does not create a mentor-coaching, fiduciary, advisory, employment, agency, certification, or other professional relationship between you and Tandem.

4. Your content, authority, and confidentiality

You keep ownership of the content you enter. You represent that you have the rights and lawful authority needed to use it and that doing so complies with applicable law, the ICF Code of Ethics, your agreements, and your professional confidentiality duties.

Before entering another person’s information, provide any required notice and obtain any required consent or other lawful basis. Use the minimum information necessary. Do not enter illegal material, unnecessary sensitive information, credentials, financial information, government identifiers, or content that infringes another person’s rights.

You are responsible for securing the device, browser profile, downloaded files, and any copy you share. On a shared device, clear local site data and remove downloaded files when appropriate.

Browser storage and downloaded files are under your control. You are responsible for backups, retention, deletion, access permissions, secure transfer, and recovery. Tandem is not a records custodian and has no duty or practical ability to recover browser-local work or an expired temporary export.

5. Limited permission for official PDF export

When you explicitly confirm an official export, you give Tandem a limited, temporary, nonexclusive permission to receive the bounded snapshot, validate it, place it into the supported template, convert it to PDF, and make that PDF available to you. This permission exists only to complete your requested export and ends when the job is downloaded, fails, or expires.

Tandem does not gain ownership of your content. We do not use exported form content for AI, advertising, marketing, or a credential decision. The Privacy & Data notice explains the exact boundary and retention.

An “official ICF PDF” means a derivative created from the supported retained template; it does not mean that ICF reviewed, accepted, or will accept the completed content. Inspect every downloaded file for accuracy, completeness, current-template compatibility, and correct signature before using it.

You decide whether, when, where, and to whom an output is submitted or disclosed. Tandem is not responsible for an ICF, school, employer, mentee, regulator, or other third party accepting, rejecting, interpreting, relying on, or taking action based on an output.

6. Acceptable use

You may use the tools for your own lawful mentor coaching, mentor coach education, or internal professional documentation. You must not:

  • interfere with, overload, probe, bypass, or defeat security, rate, human-verification, queue, or access controls;
  • submit malicious code, arbitrary files, fabricated security tokens, or content intended to alter a template or conversion process;
  • automate high-volume exports, resell the service, or present the tools as your own hosted service without written permission;
  • misrepresent Tandem or ICF endorsement, alter attribution in a misleading way, or use outputs for fraud or unlawful credential claims; or
  • use the tools in a way that violates law, confidentiality, intellectual-property rights, or another person’s privacy.

We may restrict abusive traffic or suspend access needed to protect visitors, infrastructure, templates, or rights holders.

7. Ownership and third-party materials

Tandem owns or licenses the tools’ original interface, software, branding, explanatory content, and Tandem-formatted outputs, subject to your ownership of the content you enter. These Terms give you a limited, revocable, nontransferable right to use the tools and their outputs for the permitted purposes above.

ICF names, marks, competencies, requirements, and official templates belong to ICF or their respective rights holders. Their appearance identifies the professional context and does not imply sponsorship or transfer any rights. You are responsible for following the rights holder’s current terms for official materials.

8. Availability, updates, and discontinuation

We may correct, secure, improve, limit, or discontinue a tool or export combination. We may update an implementation when professional requirements or templates change, but we do not promise immediate or permanent compatibility. Local browser storage is not a backup service; download records you need to retain.

The tools rely on browsers, devices, networks, Cloudflare, hosting, human verification, conversion software, official templates, and other systems Tandem may not control. Tandem is not responsible for third-party terms, acts, omissions, outages, changes, security incidents, incompatibilities, or decisions.

To the maximum extent permitted by law, Tandem is not liable for delay, interruption, corruption, unavailability, or failure caused by events outside its reasonable control, including internet or utility failure, cyberattack, labor dispute, natural disaster, epidemic, war, civil disorder, governmental action, or a third-party service failure.

9. Disclaimers

To the maximum extent permitted by law, you use the tools and outputs at your own risk. They are provided “as is,” “as available,” and “with all faults,” without express, implied, statutory, or other warranties or conditions.

Tandem disclaims warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, noninfringement, accuracy, completeness, timeliness, security, confidentiality, compatibility, uninterrupted availability, error-free operation, results, credential acceptance, and compliance with every professional, organizational, ethical, submission, or legal requirement. Tandem does not warrant that defects will be identified or corrected, that local data or exports will not be lost, or that the tools will meet your needs.

No statement, example, tooltip, validation, calculation, suggested outcome, email, documentation, or support response creates a warranty or expands Tandem’s obligations unless an authorized Tandem representative expressly agrees in a separate signed writing.

Some jurisdictions do not permit certain exclusions. Each disclaimer applies only to the maximum extent permitted by applicable law.

10. Limitation of liability

To the maximum extent permitted by law, Tandem and its members, managers, officers, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages; loss or exposure of data; loss of income, profits, business, opportunity, goodwill, or reputation; cost of substitute services; credential or submission decisions; professional discipline; or claims arising from your content, confidentiality, consent, device or file security, sharing, submission, or reliance on an output.

These exclusions apply regardless of the legal theory, including contract, warranty, tort, negligence, strict liability, statute, or otherwise, and even if a protected party was advised that a loss was possible or a limited remedy fails of its essential purpose.

Your sole and exclusive remedy for dissatisfaction with the tools is to stop using them and delete the browser-local and downloaded copies under your control. If applicable law nevertheless provides a monetary remedy, the aggregate liability of Tandem and all protected parties for all claims relating to the free public tools will not exceed the greater of US $100 or the amount you paid specifically for these tools during the twelve months before the event giving rise to the first claim.

The exclusions and cap allocate the risks of providing a free resource and are an essential basis on which the tools are made available. They do not exclude or limit liability, remedies, or rights that applicable law does not permit the parties to exclude or limit.

11. Responsibility for third-party claims

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Tandem and its members, managers, officers, employees, contractors, and agents from third-party claims, proceedings, damages, judgments, settlements, penalties, costs, and reasonable legal fees arising from:

  • content you enter, upload, export, share, or submit;
  • your lack of authority, notice, consent, or other lawful basis;
  • your breach of confidentiality, privacy, data-protection, intellectual-property, professional, or ethical duties;
  • your unlawful use, fraud, misrepresentation, credential claim, or misuse of an output; or
  • your material breach of these Terms.

We will give reasonably prompt notice of a covered claim. You may control the defense with qualified counsel reasonably acceptable to us, but you may not settle a claim in a way that admits fault by, imposes an obligation on, or fails to fully release a protected Tandem party without that party’s written consent. Tandem may participate with its own counsel at its own expense.

This section does not require you to indemnify a protected party to the extent a claim results from that party’s conduct and applicable law does not permit indemnification.

12. Governing law and mandatory rights

These Terms are governed by the laws of Texas, without regard to conflict-of-law rules. Subject to any mandatory consumer venue rights, courts located in Dallas County, Texas have exclusive jurisdiction. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue.

Nothing in these Terms waives nonwaivable consumer, privacy, data-protection, or other statutory rights that apply to you, or excludes liability that applicable law does not allow Tandem to exclude. Any disclaimer, exclusion, indemnity, remedy restriction, or liability cap is reduced only to the minimum extent required for enforceability.

13. Changes and contact

We may update these Terms to reflect changes in the tools, law, security, or professional requirements. The effective date and version at the top identify the current Terms. Your continued use after an update accepts the revised Terms; where law requires a different form of notice or consent, we will use it.
